These terms explain the rules for using CommerceMend and the responsibilities we each have when working together.

Acceptance of these terms

These Terms and Conditions govern your access to and use of CommerceMend, including its websites, dashboards, reports, tools, and related services. By creating an account or using the service, you agree to these terms. If you use the service for an organization, you confirm that you have authority to bind that organization.

Accounts and access

You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account and for ensuring that your users follow these terms.

We may suspend access when reasonably necessary to protect the service, users, or third parties, or when an account violates these terms.

Acceptable use

You may not use the service to:

  • break the law, infringe rights, or facilitate fraud;
  • upload malicious code or interfere with service security;
  • probe, scrape, or overload systems without authorization;
  • misrepresent generated reports or recommendations; or
  • access another user's data without permission.

Your data and content

You retain ownership of the data and content you submit. You grant us the limited rights needed to host, process, analyze, transmit, and display that content to operate, secure, support, and improve the service.

You confirm that you have the rights and permissions required to provide this content, including marketplace, catalog, listing, brand, pricing, and account information.

Anonymized user statistics

We may create, collect, analyze, and use anonymized or aggregated user statistics derived from use of the service. These statistics may be used to operate, secure, benchmark, research, develop, and improve our products and services, and may be shared or published where they do not identify you or your organization.

Third-party services

The service may connect to marketplaces and other third-party services. Their terms and privacy practices apply to their products. We are not responsible for third-party services, changes they make, or actions they take based on data or instructions you provide.

Reports and recommendations

Audits, forecasts, generated content, and recommendations are provided for operational support and may contain errors. You are responsible for reviewing outputs and deciding whether to act on them. We do not guarantee marketplace approval, ranking, sales, savings, or any other business result.

Fees and billing

If you purchase a paid plan or credits, you agree to the prices, billing cycle, usage limits, and refund terms presented at purchase. Taxes may apply. We may change future pricing with reasonable notice, but changes will not retroactively alter amounts already due.

Our intellectual property

We and our licensors retain all rights in the service, software, visual design, documentation, and branding. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account remains authorized; they do not transfer ownership to you.

Availability and warranties

The service is provided on an “as is” and “as available” basis to the extent permitted by law. We do not warrant uninterrupted availability, error-free output, or suitability for a particular purpose. Nothing in these terms excludes warranties or rights that cannot legally be excluded.

Limitation of liability

To the fullest extent permitted by law, CommerceMend will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity. Our total liability arising from the service will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim.

Termination

You may stop using the service at any time. We may suspend or terminate access for a material breach, legal requirement, security risk, or discontinuation of the service. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and anonymized-statistics rights—will survive.

We may update these terms as the service changes. We will post the revised version here and update the date above, and will provide additional notice when required. Questions about these terms may be sent through the support channel available in the service.
